Acceptance and scope

These Terms govern your access to the Nodely Tools website, software, license keys, downloads, documentation, updates and support. By purchasing, downloading, installing, activating or using a Nodely product, you agree to these Terms and to any product specific terms shown at checkout.

If you use a product for a company or other organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not purchase, install, activate or use the product.

Nodely Tools is the trading name used by the software supplier identified in your checkout record or order confirmation. References to Nodely, we, us and our mean that supplier.

Checkout, billing and renewal

Purchases are sold and processed by the Merchant of Record identified at checkout and on your receipt. Nodely remains the supplier and licensor of the software. The Merchant of Record handles payment collection, applicable transaction taxes, receipts, chargebacks and payment related refunds. Its buyer terms also apply to the transaction.

Prices, currency, billing frequency, renewal information and taxes shown at checkout form part of your order. A recurring annual license renews for another annual period until cancelled. You may cancel through the buyer portal linked in your order or subscription confirmation. Cancellation takes effect at the end of the current billing period and stops the next renewal.

The Merchant of Record named at checkout is the seller for that transaction and its buyer terms, privacy notice and refund rules also apply.

We do not receive or store your full card details. The Merchant of Record shown at checkout handles payment credentials and payment related questions.

License grant

Subject to full payment and continued compliance with these Terms, Nodely grants you a limited, revocable, non exclusive, non transferable license to install and use the purchased product during the active license period for your own permitted creative or production work.

The number of users, devices, seats, entities and permitted commercial uses is determined by the license selected at checkout or agreed in writing. A personal or single seat license may not be shared within a team, studio or client organisation.

The product is licensed, not sold. No ownership of the software, source code, algorithms, interface, documentation, brand or other intellectual property transfers to you.

Use restrictions

You may not, except where applicable law expressly permits:

• copy, redistribute, resell, rent, lease, sublicense or make the product available to another person or entity;
• share license keys, credentials, installers or private download links;
• circumvent activation, license limits, access controls or technical protection measures;
• reverse engineer, decompile, disassemble, translate or attempt to discover source code, protected methods or internal implementation;
• remove or alter ownership notices, branding or license information;
• use the product to build or distribute a competing product through systematic extraction or replication of protected features;
• use the website or product unlawfully, maliciously, fraudulently or in a way that interferes with our systems or another user.

Any permitted exception must be exercised only to the minimum extent required by law and, where legally allowed, after giving us written notice.

Your responsibilities

You are responsible for confirming compatibility before purchase, maintaining valid backups, protecting license credentials, testing output and deciding whether a result is suitable for production. You must review cameras, lighting, composites, tracks, scene changes and rendered output before relying on them.

You are responsible for the legality, rights and security of footage, scenes, assets and other material you process. Do not send confidential or personal material to support unless it is necessary and you have authority to do so.

You must promptly tell us if you suspect unauthorised access, key sharing or misuse of a product associated with your purchase.

Compatibility and third party software

Nodely products operate with Houdini and may interact with renderers, drivers, operating systems, file formats, libraries and services supplied by third parties. Those products are controlled by their respective owners and may change without notice.

Compatibility statements describe supported configurations at the time stated. They do not guarantee operation with every build, device, plugin, custom pipeline, scene or future third party release. Review the current compatibility page and test within your own pipeline before production use.

SideFX, Houdini and third party product names and marks belong to their respective owners. Nodely is not endorsed by or affiliated with those owners unless expressly stated.

Updates, changes and support

During an active annual license, we may provide updates and supported Houdini builds described for that product. We may add, change, replace or remove features, workflows, requirements and supported configurations when reasonably required for security, maintenance, product direction or third party compatibility.

Support is provided on a reasonable efforts basis through the published contact channel. No response time, uninterrupted availability, custom development, production rescue or continued support for a particular version is promised unless agreed in writing.

Preview, beta or early access features may be incomplete, changed or withdrawn and may contain additional errors. They should not be treated as final production functionality.

Ownership and feedback

Nodely and its licensors retain all rights not expressly granted. The website, software, documentation, visual design, product names, trademarks, code and protected product logic are owned by or licensed to Nodely and are protected by intellectual property laws.

You retain ownership of your scenes, footage and original creative output. If you voluntarily send suggestions or feedback, you grant Nodely a worldwide, perpetual, irrevocable, royalty free right to use and incorporate that feedback without restriction or payment, provided we do not publicly identify you without permission.

Suspension and termination

We may suspend activation, downloads, support or access where payment is reversed, a license expires, use exceeds the purchased scope, security requires immediate action, or we reasonably believe these Terms or law have been breached.

Serious fraud, key sharing, circumvention, redistribution or unlawful use may result in immediate termination. When a license ends, you must stop using the product and delete copies that you are no longer entitled to retain.

Provisions concerning ownership, restrictions, liability, disputes and accrued rights survive termination.

Warranties and disclaimers

To the fullest extent permitted by law, the website and products are provided as available and without warranties of uninterrupted operation, error free output, fitness for a particular production, compatibility with every pipeline, merchantability or non infringement.

Creative and technical results depend on source material, settings, hardware, drivers, Houdini, third party software and artist decisions. Nodely does not warrant that a solve, camera, light rig, composite, render or other output will satisfy a particular creative, technical or delivery requirement.

Nothing in these Terms excludes any warranty or remedy that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, Nodely is not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profit, revenue, business, opportunity, goodwill, data, scenes, renders, production time or use, even if advised that such loss may occur.

To the fullest extent permitted by law, Nodely's total aggregate liability arising from a product, the website or these Terms will not exceed the amount you paid for the affected Nodely product during the 12 months immediately before the event giving rise to the claim.

These limits do not apply where liability cannot be limited by law, including liability for fraud or any other matter that applicable law requires to remain unlimited.

Business users

If you use Nodely for business purposes, you will defend, indemnify and hold Nodely harmless from third party claims, damages, costs and reasonable professional fees arising from your unlawful material, breach of these Terms, misuse, unauthorised distribution or infringement of another person's rights.

This obligation does not apply to the extent a claim was directly caused by Nodely's intentional misconduct or where it is prohibited by law.

Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict of law rules. Subject to any mandatory consumer forum rights, the courts and enforcement offices of Istanbul have exclusive jurisdiction.

Before starting formal proceedings, you agree to contact us and give both sides a reasonable opportunity to resolve the matter. If you are a consumer, this clause does not remove any mandatory protection or right to bring a claim in another forum that applicable law grants you.

General provisions

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign your license or these Terms without our written consent. We may assign them as part of a reorganisation, financing, sale or transfer of the business.

These Terms, the checkout record, this Refund Policy, this Privacy Notice and any written product specific terms form the agreement concerning your use. We may update these Terms for legal, security, operational or product reasons. Material changes apply prospectively and will be communicated where required by law.

Scope

This policy applies to Nodely Tools digital software licenses purchased through our checkout. Because the products are digital, access may be delivered immediately and cannot be physically returned.

The authorised reseller and Merchant of Record identified at checkout administers transaction refunds. Its buyer terms and refund policy also apply to the transaction.

Before you purchase

Review the product page, supported Houdini versions, operating system, renderer workflow, license period, hardware needs and known availability information before checkout. Contact us if an essential requirement is unclear.

You are responsible for confirming that your environment meets the published requirements. A product not matching an unlisted assumption, personal preference or unsupported configuration is not by itself a defect.

General refund position

Except where required by applicable law or approved by the Merchant of Record under its buyer terms, transactions are non refundable and non exchangeable once the digital product, private download or license access has been delivered.

We do not promise an unconditional trial period, satisfaction guarantee or refund for change of mind. Refund requests are reviewed individually. Requesting a refund does not guarantee approval.

Requests we will review

We will review a properly documented request where:

• you were charged more than once for the same intended purchase;
• the purchased product or license was not delivered and we cannot provide it within a reasonable time;
• a reproducible material defect prevents the product from performing its core published function in a supported configuration and we cannot provide a reasonable fix or workaround;
• the product was materially misdescribed at the time of purchase;
• applicable law gives you a refund or withdrawal right that has not been validly excluded.

We may first offer delivery, troubleshooting, a corrected build, replacement access, a workaround or another remedy allowed by law before approving a refund.

Requests not normally eligible

Unless mandatory law requires otherwise, refunds are not normally provided because:

• you changed your mind, no longer need the product or did not use it;
• you overlooked published compatibility, license, hardware, renderer or system requirements;
• your scene, footage, custom pipeline, third party plugin or unsupported configuration produces a different result than expected;
• a third party product, driver, renderer, operating system or Houdini build changed after purchase;
• you expected an unadvertised feature, performance level, creative result or delivery date;
• you purchased the wrong product or license after the relevant information was clearly shown;
• you forgot to cancel before a renewal date;
• the request involves abuse, key sharing, activation circumvention, policy breach, fraud or an improper chargeback;
• a preview, beta or early access limitation was disclosed before purchase.

How to request review

Email contact@nodelytools.io promptly and, where reasonably possible, within 14 days of purchase. You may also submit the request through the buyer support channel shown in your receipt. Use the email address connected to the order and include:

• your order number and purchased product;
• the reason for the request;
• your Houdini version, operating system and relevant renderer or hardware;
• steps to reproduce the issue, screenshots, logs or other useful evidence;
• troubleshooting already attempted.

We may ask for additional information, a diagnostic test or a reasonable opportunity to investigate. Missing information may delay or prevent a decision.

Renewals and cancellation

If checkout identifies a recurring annual license, you may cancel it through the buyer portal linked in your order or subscription confirmation. Cancellation takes effect at the end of the current billing period, stops the next renewal and does not normally create a refund for the current license period.

Renewal charges are not normally refundable merely because the product was unused, a reminder was missed or cancellation occurred after billing. We will honour any mandatory cancellation or refund right required by applicable law.

Decision and effect

Refund requests are assessed individually based on the order, product status, evidence, support history, license activity, this policy, the applicable Merchant of Record terms and applicable law. Nodely may provide product and license information to the Merchant of Record. The Merchant of Record shown at checkout makes the transaction refund decision under its terms. Any voluntary refund may be full or partial and does not create an obligation to decide future cases the same way.

If a refund is approved, the affected license, activation, update access and download entitlement may be disabled immediately. You must stop using and delete the refunded product. An approved refund is returned through the original payment route where required by the Merchant of Record. Processing time and the appearance of funds depend on the Merchant of Record, the payment method and financial institutions.

Chargebacks and abuse

Contact us and the Merchant of Record shown on your order before initiating a chargeback so the issue can be investigated. A chargeback does not create a right to continue using the product.

Fraudulent, abusive or manipulative requests may be refused and may result in suspension of licenses, downloads, support and future purchasing, in addition to any rights available to Nodely and the Merchant of Record.

Mandatory consumer rights

Nothing in this policy limits a consumer right or remedy that cannot lawfully be excluded. In some places, digital content withdrawal rights may end after supply begins where the buyer gave the legally required express consent and acknowledgement. Defective digital content may remain subject to mandatory repair, replacement, price reduction or refund rights.

If a mandatory local rule conflicts with this policy, that rule applies only to the extent required.
